9. Indemnification

You agree to defend, indemnify, and hold harmless GV Capital and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the services.

10. Termination

We may terminate or suspend your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration in Los Angeles, California, under the rules of the American Arbitration Association.
